Terms of Service

1. Acceptance of Terms

By accessing or using the Pragnanz platform at pragnanz.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Pragnanz.

2. Eligibility & Account Registration

You must be at least 18 years old to use the Service. Access is granted through a waitlist and approval process. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information during registration and promptly update it if it changes.

3. Permitted Use

You may use the Service for lawful research, analysis, and deliberation purposes. You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Access the Service through automated means (bots, scrapers) without authorization
  • Circumvent access controls, authentication, or security measures
  • Use the Service to generate content that is harmful, abusive, defamatory, or illegal
  • Resell, sublicense, or provide the Service to third parties without written consent

4. Your Content

You retain ownership of all content you create, upload, or input into the Service ("Your Content"). By using the Service, you grant Pragnanz a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you. We do not claim ownership of Your Content and will not use it for any purpose other than operating the Service.

5. AI-Generated Output

The Service uses third-party AI models to generate research findings, deliberation transcripts, reports, and other outputs. AI-generated content is provided "as is" and may contain inaccuracies, biases, or errors. You are solely responsible for reviewing, verifying, and validating any AI-generated output before relying on it for decisions. Pragnanz does not guarantee the accuracy, completeness, or reliability of AI-generated content.

6. Third-Party AI Providers

The Service integrates with AI providers including OpenAI, Anthropic, Google, and xAI. Your use of these providers through the Service is subject to their respective terms of service and usage policies. When you provide your own API keys (BYOK), you are responsible for compliance with those providers' terms and any associated costs.

7. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is the exclusive property of Pragnanz and is protected by intellectual property laws. These Terms do not grant you any right to use Pragnanz trademarks, trade names, or branding without prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAGNANZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Pragnanz, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to access the Service ceases immediately. Sections 4, 5, 7, 8, 9, 10, and 13 survive termination.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via the platform or email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
